Terms of Service
Please read these terms carefully before accessing or deploying Parwal AI voice agents, telephony SIP trunks, WhatsApp bots, and computational pipelines.
Customer Communication Responsibility & Regulatory Notice
By deploying Parwal AI agents across phone calls or WhatsApp channels, you acknowledge that you as the Customer retain exclusive operational responsibility for your communications, compliance with the Telephone Consumer Protection Act (TCPA), TRAI TCCCPR Regulations, National Do-Not-Call (DNC) registers, and mandatory AI and call recording consent disclosures.
Acceptance of Terms & Business Identity
These Terms of Service ("Agreement") constitute a legally binding contract between Parwal AI ("Parwal AI", "Company", "we", "us", or "our"), a technology platform initiative with principal operational headquarters at DDU Nagar, Raipur 492001, Chhattisgarh, India, and the entity or individual ("Customer", "you", or "your") registering for, accessing, or utilizing the Parwal AI platform, websites, APIs, or telecommunications features.
By creating an account, clicking "Sign Up", connecting telephony infrastructure, or deploying conversational agents, you represent and warrant that: (a) you are at least 18 years of age and legally competent to enter into binding contracts under applicable law; and (b) if acting on behalf of a corporation, partnership, or other legal entity, you possess full legal authority to bind that entity to this Agreement.
Description of Services & Neutral Platform Architecture
Parwal AI operates a proprietary, cloud-hosted SaaS platform facilitating real-time artificial intelligence voice interaction, conversational automated receptionists, outdial voice workflows, natural language understanding, speech synthesis, WhatsApp messaging automations, and telecommunications interconnects.
Neutral Technology Platform: Parwal AI provides software and computational orchestration tools. We do not curate, originate, or supervise the specific call lists, contact databases, or conversational scripts configured by Customer. Customer exercises sole operational control over when, how, and to whom voice calls or WhatsApp communications are initiated or received.
No Emergency Calling Services: The Services do NOT support 911, 112, 999, 100, 108, or any public safety emergency dispatch dialing. You agree not to attempt to route emergency communications through Parwal AI.
Customer Responsibility for Communications and AI-Generated Interactions
(a) Responsibility for Initiated and Received Communications: The Customer is solely and exclusively responsible for all communications initiated, received, generated, or facilitated through their account, agents, custom instructions, integrations, and connected channels (including SIP trunks, phone numbers, and WhatsApp Business accounts).
(b) Content, Purpose, Accuracy, and Consequences: The Customer is strictly responsible for the content, accuracy, business purpose, legality, appropriateness, and commercial consequences of all communications conducted via their configured AI agents.
(c) Permissions, Consent, and Lawful Basis: The Customer is solely responsible for obtaining and verifying all required permissions, prior express consents, opt-ins, and lawful bases for contacting recipients, recording audio conversations, processing personal data, and conducting marketing, debt collection, or informational outreach.
(d) Statutory and Regulatory Compliance: The Customer is solely responsible for complying with all applicable telecommunications, anti-spam, privacy, consumer-protection, data-protection, and marketing laws across all jurisdictions in which they operate, including without limitation:
- United States: Telephone Consumer Protection Act (TCPA), Telemarketing Sales Rule (TSR), CAN-SPAM Act, and state-level telemarketing registration and time-of-day calling restrictions;
- India: Telecom Commercial Communications Customer Preference Regulations, 2018 (TRAI TCCCPR), 140-series commercial calling allocations, Distributed Ledger Technology (DLT) principal entity and header/template scrubbing, and the Digital Personal Data Protection Act, 2023 (DPDP Act);
- European Union & UK: General Data Protection Regulation (GDPR / UK GDPR), ePrivacy Directive, and applicable electronic communications regulations;
- Platform Partner Policies: Meta WhatsApp Business Policy, WhatsApp Commerce Policy, and carrier acceptable use standards.
(e) Supervision, Testing, and Monitoring: The Customer is solely responsible for configuring, testing, monitoring, auditing, and supervising their AI agents, prompts, safeguard parameters, and knowledge sources prior to and during active public deployment.
(f) Mandatory Consumer Disclosures: The Customer is solely responsible for providing required affirmative disclosures to recipients, including immediate notification that the recipient is communicating with an artificial intelligence system and all applicable two-party call recording disclosures.
(g) Inquiries, Complaints, and Third-Party Claims: The Customer is solely responsible for handling, defending, and resolving all consumer complaints, regulatory inquiries, spam reports, carrier traceback requests, and third-party claims attributable to their instructions, content, calling databases, or platform usage.
(h) Role as Technology Platform Provider: Parwal AI is a technology platform provider and does not independently determine Customer's communication purpose, select message recipients, originate calling lists, or dictate business instructions.
(i) Nature of Artificial Intelligence Outputs: Parwal AI does not guarantee that every AI-generated response, synthesized speech phrase, or conversational transcript will be accurate, appropriate, complete, error-free, or legally compliant. Large language models and neural speech synthesis systems are probabilistic and non-deterministic; Customer maintains the affirmative obligation to review and supervise agent conduct.
(j) Right to Suspend or Restrict: Parwal AI reserves the explicit right to immediately suspend, throttle, or restrict Customer accounts, connected phone numbers, or integrations for suspected abuse, unlawful communications, carrier traceback flags, security risks, or violations of platform policies.
(k) Protection for Parwal AI and Associated Persons: To the maximum extent permitted by applicable law, Customer agrees that Parwal AI, its founders, operators, directors, officers, employees, contractors, and affiliates shall have no liability for claims, losses, statutory penalties, or damages arising out of Customer-controlled communications, prompts, calling campaigns, or Customer misuse of the platform.
(l) Preservation of Statutory Rights: Nothing in this Agreement shall be construed to exclude or limit liabilities that cannot be lawfully excluded or limited under applicable mandatory consumer-protection laws, nor does it eliminate liability for Parwal AI's own proven gross negligence or intentional statutory misconduct.
Acceptable Use Policy (AUP)
You agree not to use the Services to engage in any unlawful, harmful, deceptive, or abusive activity. Prohibited activities include, without limitation:
Telecommunications & TCPA / TRAI Compliance Covenants
Customer expressly covenants and warrants full legal compliance concerning outbound telephony calls initiated using Parwal AI:
- Customer is solely responsible for all carrier contracts, direct carrier billing, KYC verification, and recurring phone number renewal fees paid to third-party telecommunications providers (such as Vobiz);
- Customer must verify and maintain regulatory ownership of all connected Caller ID numbers and is strictly prohibited from spoofing numbers not legally assigned to Customer;
- Customer is solely responsible for registering their own Principal Entity and Telemarketer headers on carrier DLT portals for commercial calling compliance;
- Parwal AI operates as a software orchestration platform, not a licensed telecommunications carrier. Parwal AI bears no liability for upstream carrier outages, SIP route degradations, carrier spam-labeling, or number suspensions imposed by Vobiz or telecom operators;
- Customer is solely responsible for maintaining the confidentiality of their carrier API keys and SIP tokens, and assumes full financial liability for all traffic initiated through their connected credentials.
Two-Party Consent & Call Recording Covenants
Numerous jurisdictions require all parties on a telephone conversation to consent prior to call recording or real-time transcription ("All-Party" or "Two-Party" consent laws, including California, Florida, Massachusetts, Illinois, and various international jurisdictions).
Whenever call recording or real-time transcription is enabled on your Parwal AI voice agents, you agree to configure an explicit, audible recording announcement at the inception of the call (e.g., "This call is recorded and processed by an AI assistant for service and quality purposes").
Customer assumes total responsibility and agrees to indemnify Parwal AI against any claims, fines, statutory penalties, or litigation arising out of Customer's failure to provide required recording disclosures.
Mandatory AI Identification Disclosure
Under state and international transparency statutes (including the California B.P.C. § 17940 "Bolstering Online Transparency Act" and the EU Artificial Intelligence Act), automated conversational agents must disclose their synthetic nature where required.
Customer covenants that Parwal AI agents shall not be configured to deceptively assert that they are a biological human when questioned by a recipient. Customer shall maintain clear AI identification prompts and transparent identity instructions within their configured agent personas.
Intellectual Property & Customer Data Ownership
Company IP: Parwal AI retains all right, title, and interest in and to the platform, user interfaces, conversational orchestration algorithms, voice synthesis pipelines, software libraries, and trademarks.
Customer Data Ownership: As between the parties, Customer retains all intellectual property rights in and to Customer Data, including custom business prompts, uploaded knowledge base documents, and CRM contact files.
No Foundation Model Training: Consistent with our Privacy Policy, Parwal AI will NOT use Customer Data or caller voice recordings to train public foundation artificial intelligence models.
Billing, Telephony Consumption & Payment Gateway
Customer agrees to pay all fees associated with Customer's subscription plan, telephone number leases, and metered voice and chat consumption.
Payment Processing: Transactions are securely processed through Cashfree Payments India. Parwal AI does not store raw debit/credit card numbers on its servers.
- Meta / WhatsApp Cloud API Conversation Costs: All conversation-based messaging fees, marketing/utility/service message tier rates, and template charges levied by Meta Platforms, Inc. must be paid directly by the Customer through Customer's own linked Meta Business Manager and WhatsApp Business Account payment methods. Parwal AI does NOT pay, subsidize, or front Meta messaging costs.
- Telephony & Carrier Interconnect Costs (Vobiz / SIP / PSTN): All carrier call minute rates, SIP trunking charges, outbound/inbound dial fees, virtual phone number monthly leases, and telecommunications surcharges charged by Vobiz or any connected carrier are the exclusive financial responsibility of the Customer and are paid directly to the respective carrier.
- Software Platform Scope: Parwal AI fees cover exclusively the Parwal AI software platform, AI logic orchestration, conversational agent tools, and included platform credits. Parwal AI is not a telecommunications provider or message reseller and bears no financial liability for Customer's direct carrier or Meta invoices.
Consumable Computing & Telecom: Real-time GPU inference and telecom SIP termination costs are incurred immediately upon call initiation and agent token generation. Consequently, consumed minutes and tokens are non-refundable, as detailed in our Refund Policy.
Taxes: Fees are exclusive of applicable taxes. For Indian customers, 18% Goods and Services Tax (GST SAC Code 9983) is added at checkout.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PARWAL AI, ITS FOUNDERS, OPERATORS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS GOODWILL). PARWAL AI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL BE CAPPED AT THE TOTAL FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Nothing in this limitation of liability excludes or limits statutory liabilities that cannot be lawfully excluded under applicable law, including liability for Parwal AI's own willful misconduct.
Customer Indemnification Obligations
Customer covenants to defend, indemnify, and hold harmless Parwal AI, its founders, operators, directors, officers, employees, contractors, and affiliates from and against any third-party claims, lawsuits, administrative penalties, regulatory fines, or legal expenses arising from:
- Customer's violation of telecommunications laws (including TCPA, TRAI TCCCPR, or spam regulations);
- Customer's failure to obtain required two-party recording consent or AI transparency disclosures;
- Any breach of the Acceptable Use Policy by Customer or Customer's authorized agents;
- Content, business instructions, or statements generated or facilitated through Customer's configured AI agents.
Term, Suspension & Termination
This Agreement commences upon account registration and remains in effect until terminated.
Suspension for Abuse: Parwal AI reserves the right to immediately suspend or throttle services if we detect unlawful calling traffic, carrier traceback alerts, suspected spam, or material AUP violations.
Customer Cancellation: You may cancel your subscription at any time via dashboard billing settings. Access continues through the end of the current billing cycle without prorated refunds.
Dispute Resolution & Governing Law (India)
This Agreement shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any dispute, claim, or controversy arising out of or relating to this Agreement or the Services shall be subject to the exclusive jurisdiction of the competent courts in Raipur, Chhattisgarh, India.
