Affiliate & Partner Terms
The legal terms governing the Parwal AI Agency Reseller and Affiliate Partner Program, revenue sharing, domain deal protection, and compliance.
20% Monthly Cash Rev-Share with Domain Deal Protection
Registered agency partners earn a recurring 20% commission on net subscription revenues for 6 months per client, protected by 30-day domain registration locks. Payouts are compliant with Indian TDS Sec 194H (2%) and GST SAC 9983.
Program Overview & Eligibility
This Agency Partner & Affiliate Agreement ("Partner Agreement") is entered into by and between Parwal AI ("Parwal AI", "Company", "we", "us"), an India-based technology initiative operating from DDU Nagar, Raipur 492001, Chhattisgarh, India, and the participating business entity or individual ("Partner", "Agency", "Affiliate", "you").
By submitting an Agency Partner Application or deploying partner referral credentials, you agree to comply with this Partner Agreement alongside our Master Terms of Service and Privacy Policy.
20% Recurring Commission Structure (6 Months)
Subject to compliance with these terms, Partner is entitled to receive a recurring cash commission based on payments completed by clients referred by Partner:
Commission Rate: Twenty percent (20%) of the Net Collected Subscription Revenue.
Duration: Commission accrues for each referred client for up to six (6) consecutive calendar months commencing on the client's first paid billing cycle.
Net Revenue Definition: "Net Collected Subscription Revenue" means gross subscription recurring revenues actually collected by Parwal AI, excluding: (a) statutory sales taxes, VAT, and GST; (b) pass-through carrier telecommunications charges and third-party phone number leasing fees; (c) gateway transaction fees; and (d) any bad debts or fraudulent transactions.
Domain Deal Registration & 30-Day Exclusivity Lock
To protect partner agency investments in enterprise prospect outreach, Parwal AI provides formal deal registration:
Domain Registration Submission
Partner registers a prospective corporate domain (e.g., acmecorp.com) via the Partner Portal accompanied by verifiable outreach proof (email correspondence, calendar invite, or pitch deck confirmation).
30-Day Exclusive Attribution Lock
Upon approval by Parwal AI administration, the corporate domain is locked exclusively to Partner for thirty (30) calendar days. If the client signs up during this period, conversion is automatically credited to Partner.
Tax Compliance: 2% TDS (Sec 194H) & GST (SAC 9983)
Parwal AI strictly adheres to national and international taxation mandates:
Payout Schedules & Minimum Thresholds
Commissions are calculated on the 1st of each month for the preceding calendar month:
Net commissions are disbursed on the 15th of every month via direct bank transfer (NEFT, IMPS, or international SWIFT wire).
A minimum accrued commission of ₹2,000 INR (or $50 USD for international accounts) is required to trigger payout. Unmet balances roll forward indefinitely.
Prohibited Activities & Fraud Policy
Engaging in any of the following activities constitutes a material breach resulting in immediate termination of partner status and immediate forfeiture of all accrued commissions:
Partner cannot earn commissions on Partner's own accounts, parent corporations, sister companies, subsidiaries, or personal projects.
Partner is strictly prohibited from running paid search advertisements (Google Ads, Bing Ads, Facebook Ads) bidding on keywords including "Parwal", "Parwal AI", "Parwal Voice", or misspellings thereof.
Partner must not engage in mass unsolicited cold email (CAN-SPAM violation), automated robocalling, or deceptive social media scraping.
Confidentiality & Strict Customer Audio Isolation
Parwal AI enforces strict privacy firewalls between agency partners and referred client accounts:
Partners and resellers have ZERO ACCESS to referred clients' caller voice streams, raw audio recordings, conversational transcripts, or CRM contact databases.
The Partner Portal displays aggregate financial conversion status, subscription tiers, and accrued commissions only. This architecture preserves strict enterprise attorney-client privilege, HIPAA, and GDPR isolation for all referred clients.
Independent Contractor Status
The relationship between Parwal AI and Partner is strictly that of independent contracting parties. Nothing in this Agreement creates an employment, agency, franchise, joint venture, or partnership relationship. Partner has no authority to make representations, negotiate pricing, or bind Parwal AI in any contract.
Term, Suspension & Commission Forfeiture
Either party may terminate this Partner Agreement at any time with or without cause upon fifteen (15) days written notice.
Upon termination for convenience, Parwal AI will disburse any legally accrued commissions exceeding the minimum threshold. In the event of termination for cause (such as brand PPC bidding, self-referral fraud, or client data compromise), all pending and accrued commissions are immediately forfeited.
